These Terms of Service (“Terms”) govern your use of the VerifyED “School Lookup” website and API (the “Service”), operated by VerifyED LLC (“VerifyED,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” means that organization.
1. Preview status
The Service is currently offered in Preview. Features may change, break, or be removed, and the Service may be unavailable from time to time. We may add or change limits (including rate limits), require accounts, require API keys, and introduce paid plans.
2. Eligibility
The Service is intended for business use (B2B). You must be at least 18 years old and able to form a binding contract to use the Service.
3. Accounts and API keys
Some features may require an account or an API key. You are responsible for:
- keeping credentials confidential;
- all activity under your account or API key; and
- promptly notifying us if you believe credentials are compromised.
We may suspend or revoke credentials at any time for security, abuse prevention, or Terms violations.
4. Acceptable use
You agree not to misuse the Service. For example, you will not (and will not attempt to):
- use the Service in violation of law or regulation;
- interfere with or disrupt the Service (including probing, scanning, or testing vulnerabilities);
- bypass or circumvent rate limits, access controls, or authentication;
- reverse engineer, decompile, or attempt to extract source code (except to the extent such restriction is prohibited by law);
- resell, sublicense, or provide the Service to third parties as a service bureau without our written permission;
- use the Service to build or train a competing product from the Service’s outputs; or
- use the Service to make automated decisions about individuals in a way that violates applicable law.
5. Prohibited data (no PII)
Do not submit personal data to the Service (including via search queries, enrichment requests, feedback, or support messages).
“Personal data” includes information that identifies or could reasonably identify a person, including (without limitation) student names, dates of birth, student IDs, transcript records, home addresses, emails, phone numbers, or government identifiers.
If we detect personal data in inputs, we may delete it (and related logs) and may suspend the related account or API key.
6. Fees, billing, and no refunds
Some parts of the Service may be free during Preview. We may introduce paid plans, usage-based pricing, free-tier limits, and additional paid data/features.
If you purchase a paid plan:
- Fees are non-refundable, except where required by law.
- You can cancel future renewals at any time (effective at the end of the then-current billing period), but we do not provide refunds or credits for partial periods.
- You authorize us (and our payment processors) to charge your selected payment method for fees, taxes, and other charges you incur.
We may change pricing and plan terms by providing notice (for example, by email or in the Service). Changes apply prospectively.
7. Your inputs and outputs
You may provide inputs to the Service (e.g., search queries). As between you and VerifyED, you retain your rights in your inputs.
We may return outputs based on our datasets and processing (e.g., match results, metadata, enrichment). Outputs may be incorrect, incomplete, or out of date.
You grant VerifyED a worldwide, non-exclusive, royalty-free license to host, reproduce, process, and use your inputs as necessary to provide, secure, and improve the Service (including to monitor usage and prevent abuse), consistent with our Privacy Policy.
8. Feedback
If you submit feedback or suggestions, you grant us the right to use them without restriction or compensation.
9. Intellectual property
The Service (including software, designs, and content excluding your inputs) is owned by VerifyED and its licensors and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, or create derivative works of the Service.
10. Disclaimers (best-effort only)
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” VERIFYED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
The Service is a best-effort verification tool. VerifyED does not guarantee the accuracy, completeness, or suitability of results, and you are responsible for independently verifying information before making admissions, credentialing, or other decisions.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIFYED WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIFYED’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO VERIFYED FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID ANY AMOUNTS).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You will indemnify and hold harmless VerifyED and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your inputs, including any allegation that your inputs violate law or third-party rights.
13. Suspension and termination
We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms or if necessary to protect the Service, our users, or the public.
You may stop using the Service at any time.
14. Arbitration; waiver of class actions
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.
You and VerifyED agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may:
- bring an individual action in small claims court if eligible; and/or
- seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened misuse of intellectual property or unauthorized access to the Service.
The arbitration will be conducted in New York, New York, in English, before a single arbitrator. Judgment on the award may be entered in any court having jurisdiction.
Class action waiver. You and VerifyED agree to bring disputes only on an individual basis. Neither party will seek to have any dispute heard as a class action, representative action, collective action, private attorney general action, or in any proceeding in which either party acts in a representative capacity.
Waiver of jury trial. You and VerifyED waive the right to a jury trial.
If this arbitration section is found unenforceable, then (to the extent permitted by law) the dispute will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction there.
15. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles.
16. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example, by posting the updated Terms on the Service or by email). Continued use of the Service after the effective date of the updated Terms constitutes acceptance.
